The National Pension Commission (PenCom) has given Pension Fund Administrators (PFAs) a special, one-off approval to invest pension assets in the planned initial public offering (IPO) of Dangote Petroleum Refinery & Petrochemicals FZE, temporarily waiving some standard eligibility rules. A circular dated May 13, 2026, and signed by A.M. Saleem, Director of Surveillance, explains that the commission evaluated the IPO’s strategic and economic merits before granting a dispensation from Section 6.2.7.1(iii) of the Revised Regulation on Investment of Pension Fund Assets. The waiver removes the usual requirements related to a target company’s existence, profitability, and dividend track record, though other regulatory safeguards remain in place.

PenCom said the decision reflected the refinery’s strategic importance, strong fundamentals, growth potential, and the track record of its majority owner, Dangote Industries Limited. PFAs were instructed to ensure any investments made under this dispensation align with their internal investment policies, risk-management frameworks, and fiduciary duties to contributors and retirees. The commission stressed the approval applies only to this specific Dangote refinery IPO and does not set a precedent for future offerings. The circular is effective immediately.

Separately, Aliko Dangote aims for a $50 billion valuation for the refinery ahead of a planned multi-exchange listing later this year. The 650,000 barrels-per-day refinery—backed by rising crude prices and stronger domestic fuel demand—is being positioned for a landmark, cross-border IPO that could be the largest pan‑African public offering to date and reshape regional capital markets.
